Trade Account Terms & Conditions

These Terms & Conditions apply to all trade credit accounts held with FWS Supplies (“we”, “us”, “our”). By applying for and using a trade account, you (“the Customer”, “you”, “your”) agree to the following terms.

1. Account Application & Approval

1.1 All trade accounts are subject to application and approval at our discretion.
1.2 We reserve the right to carry out credit checks and request trade or bank references before approving an account.
1.3 We may refuse or withdraw credit facilities at any time without providing a reason.

2. Credit Limits

2.1 A credit limit may be set on your account.
2.2 We reserve the right to review and amend your credit limit at any time without prior notice.
2.3 Orders that exceed your credit limit may be declined or held until payment is made.

3. Payment Terms

3.1 Unless otherwise agreed in writing, payment is due by the last day of the month following the month in which the purchase was made.
3.2 Payments must be made in full without deduction, set-off, or counterclaim.
3.3 We reserve the right to withdraw credit terms and require payment on a pro forma basis if your account falls into arrears.

4. Late Payment

4.1 If payment is not received by the due date, we reserve the right to:

Suspend or close your trade account
Withhold further deliveries or collections
Charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
Recover any reasonable costs incurred in collecting outstanding debts

5. Invoicing & Statements

5.1 Invoices will be issued for all goods and services supplied.
5.2 Monthly statements may be provided for account management purposes.
5.3 It is your responsibility to notify us promptly of any discrepancies on invoices or statements.

6. Use of the Account

6.1 The account must only be used for business purposes.
6.2 You are responsible for all purchases made under your account, including those made by your employees or authorised representatives.
6.3 Trade cards (if issued) remain our property and must be returned upon request or account closure.

7. Ownership of Goods

7.1 Ownership of goods remains with FWS Supplies until all outstanding amounts on your account have been paid in full.
7.2 Until ownership passes, you must store goods securely and keep them identifiable as our property.

8. Changes to Your Business Details

8.1 You must notify us immediately of any changes to:

Business name
Ownership or legal status
Registered or trading address
Contact details

Failure to do so may result in suspension of your account.

9. Account Closure

9.1 Either party may close the account at any time by giving notice.
9.2 All outstanding balances become immediately due upon closure.
9.3 We reserve the right to close or suspend accounts where these terms are breached.

10. Liability

10.1 Nothing in these terms limits liability for death or personal injury caused by negligence.
10.2 Subject to this, our liability for any claim arising from the supply of goods shall be limited to the value of the goods supplied.
10.3 We are not liable for indirect or consequential losses, including loss of profit or business.

11. Data Protection

11.1 We process your information in accordance with our Privacy Policy.
11.2 Information provided during the application process may be used for credit assessment and account management.

12. General

12.1 These terms are governed by the laws of England and Wales.
12.2 We may update these Terms & Conditions at any time. The latest version will always be available on our website.
12.3 If any part of these terms is found to be invalid, the remaining provisions will continue in full force.
